Terms of Service

These Terms of Service ("Terms") govern your access to and use of RFP to Proposal (the "Service"), operated by RFP to Proposal ("we", "our", or "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. Subscription and billing

• Paid plans are billed monthly in advance through our payment provider.
• Fees are non-refundable except where required by law.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• We may change pricing on notice. Price changes will not apply to the current billing period.

3. Acceptable use

You agree not to:

• Upload content you do not have rights to use.
• Use the Service to generate unlawful, fraudulent, infringing, harmful, or deceptive content.
• Reverse engineer, scrape, or attempt to extract source code or model weights.
• Interfere with or disrupt the Service or its infrastructure.
• Resell or sublicense the Service without our written permission.

4. Your content

You retain all rights in the documents and materials you upload ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service to you and your invited teammates. We do not claim ownership of Your Content or AI-generated outputs derived from it within your workspace.

5. Our intellectual property

The Service, including its software, design, branding, and documentation, is owned by us and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service.

6. AI-generated content

The Service uses AI to draft and analyze proposals. AI outputs may contain inaccuracies, omissions, or unsupported claims. You are solely responsible for reviewing, editing, fact-checking, and approving any output before submitting it to a third party. We make no warranty that AI-generated content is accurate, complete, or suitable for a particular purpose.

7. Suspension and termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or use the Service in a way that risks harm to us or other users. You may stop using the Service and delete your account at any time.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of or related to the Service is limited to the amounts you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, and expenses arising from Your Content, your use of the Service, or your violation of these Terms.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which we are established, without regard to conflict-of-law principles. Disputes will be resolved in the courts located in that jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
